CLE: Goodwill in Business Transactions

Location: Via telephone

Additional Info: Oregon State Bar

Cost: $65

Description:

“Goodwill” is the intangible but very real value that makes a business profitable and carries most of its value when sold—its branding, its trained workforce, its course of dealing, its reputation among its customer base, and more. In a service-based economy, goodwill is often more valuable than tangible assets like equipment or buildings.

This program provides you with you a practical guide to what goodwill is, how it can be preserved, and, most important, how it is treated financially and for tax purposes in business transactions, including when the business is sold.

  • What you need to know about “business goodwill” in business transactions
  • How business goodwill (versus personal goodwill) is generated and preserved
  • Techniques for transferring goodwill in a business sale and major tax consequences
  • Valuing goodwill and allocating it in the sale price
  • Planning to avoid the “anti-churning” rules for depreciating goodwill and other traps for the unwary
