Boards of directors are increasingly being cast as investigators of past corporate conduct. The discussion will focus on the frequently asked questions in this area, including:
- When is a special investigation necessary - must every anonymous complaint lead to an investigation?
- Who should run the investigation?
- How do you keep business running as usual?
- The role of the board and outside advisors - who is truly independent?
- What are the rights of the individuals being investigated?
- When is the investigation over (when has enough been done)?
- How should you handle communications with the company's stakeholders?
