CLE: Board Investigations - How Far Is Far Enough?

Boards of directors are increasingly being cast as investigators of past corporate conduct. The discussion will focus on the frequently asked questions in this area, including:

  • When is a special investigation necessary - must every anonymous complaint lead to an investigation?
  • Who should run the investigation?
  • How do you keep business running as usual?
  • The role of the board and outside advisors - who is truly independent?
  • What are the rights of the individuals being investigated?
  • When is the investigation over (when has enough been done)?
  • How should you handle communications with the company's stakeholders?
